1. Scope
These GTC apply to all contracts between Vestara & Co LLC (“Provider”) and customers regarding services (in particular agency/VA services, consulting), digital content/online programs and, where applicable, deliveries of goods.
Conflicting terms and conditions of the customer do not apply unless the Provider expressly agrees in writing.
The GTC apply to consumers and entrepreneurs, unless expressly differentiated.
2. Services and subject matter of the contract
Scope, content, durations and prices result from the offer, service description or order page (“Offer”).
Side agreements and changes require text form (e-mail is sufficient).
3. Conclusion of contract
Product/service presentations are non-binding.
A booking/order constitutes an offer by the customer. The contract is concluded by acceptance (order confirmation, provision of services, activation or dispatch).
The contract language is German.
4. Prices, taxes, terms of payment
Prices in EUR. Depending on the place of performance/status of the customer, taxes may apply (e.g., reverse charge, OSS/EU rules); the tax treatment shown at checkout is decisive.
Payments are due immediately unless otherwise agreed.
Accepted payment method: bank transfer
In the event of default: statutory default interest; the Provider may block access/withhold services.
5. Delivery/performance
Digital content/online services: provision via user account, download link or e-mail after receipt of payment, unless otherwise stated.
Services: dates/milestones according to the Offer. Necessary cooperation actions by the customer (access, content, approvals) must be provided in good time.
Goods: shipment to the delivery address specified; delivery times according to the Offer.
6. Rights of use to digital content
Unless otherwise agreed, the customer receives a simple, non-transferable, non-sublicensable right of use for own purposes.
Disclosure, sale, public making available or use for third parties outside the purpose of the contract without written consent is prohibited.
Team/company licenses require a separate agreement.
7. Subscriptions/minimum terms (if applicable)
Subscriptions run for the agreed minimum term and are extended by the same term in each case unless terminated in text form 1 day before the end of the term.

8. Right of withdrawal for EU consumers (if B2C)
Applies only if the Provider sells to EU consumers. For purely B2B business please remove.
Withdrawal policy
Right of withdrawal: You have the right to withdraw within 14 days without giving reasons. The period begins for services/digital content from conclusion of the contract, for goods upon receipt.
To exercise the right, a clear declaration by e-mail to office@vestaracorp.com is sufficient.
Consequences of withdrawal: Reimbursement of all payments received including standard shipping costs within 14 days from receipt of the withdrawal; the same means of payment will be used unless otherwise agreed.
Exclusion/expiry:
– Digital content after the start of performance with your express consent and knowledge of the loss of the period.
– Services after full performance with consent to start before the end of the period.
– Sealed hygiene articles after opening.

9. Warranty
Statutory warranty rights apply.
For entrepreneurs, the warranty period for goods is 12 months from the transfer of risk, insofar as legally permissible.
For services, the Provider owes careful, professional performance; a specific success only if expressly agreed.
10. Liability
Unlimited liability for intent, gross negligence, injury to life, body, health, and under mandatory law.
In cases of slight negligence, only for breach of essential contractual obligations (cardinal duties); then limited to the typical, foreseeable damage.
Limitations also apply to legal representatives, employees, vicarious agents.
11. Retention of title (for goods)
Goods remain the property of the Provider until payment has been made in full.
12. Default, schedule changes, force majeure
Exceeding deadlines due to lack of cooperation by the customer shifts deadlines accordingly.
In events of force majeure (e.g., failures of critical infrastructures, natural events, official measures, war), performance obligations are suspended for the duration of the disruption.
13. Confidentiality (B2B)
Both parties treat business and trade secrets as well as contractual content confidentially; statutory disclosure obligations remain unaffected.
14. References (optional)
The Provider may use the customer’s name/logo in reference lists unless objected to in text form.
15. Data protection
The privacy policy on the Provider’s website applies (information on legal bases, purposes, storage periods, data subjects’ rights).
16. Export/sanctions law
Customers are responsible for ensuring that the use/export of the services does not violate sanctions, export or embargo regulations.
17. Assignment/transferability
Rights/obligations under the contract may only be transferred with the Provider’s consent; § 354a HGB remains unaffected, insofar as applicable.
18. Applicable law and place of jurisdiction
Material law of Georgia applies, CISG excluded.
Mandatory consumer protection provisions of the country of residence of EU consumers remain unaffected.
For entrepreneurs, the exclusive place of jurisdiction is Tbilisi, Georgia; the Provider may also sue at the customer’s place of business.
19. Final provisions
Changes/amendments require text form; individual agreements take precedence.
Should individual provisions be ineffective, the validity of the remaining provisions remains unaffected.
